Company Secretary - A Global Luxury Hotel & Leisure Group - Delhi

Job Summary: A Global Luxury Hotel & Leisure Group is looking to hire a Company Secretary with 6–10 years of experience to manage corporate compliance, board/shareholder meetings, ROC filings, FEMA/FDI regulations, and liaising with MCA, RBI, and SEBI for its Indian and foreign group entities.

About the company: A well-established international hospitality group managing a diversified portfolio of luxury hotels, resorts, and restaurants across Europe, the Indian Ocean, and beyond, with a strong focus on wellness-led guest experiences and global brand partnerships.

Location:  Samalka, South Delhi

Designation: Company Secretary

Key Responsibilities: 

  • Ensure timely compliance with Companies Act, 2013, FEMA, and other applicable laws for Indian subsidiaries of foreign companies.
  • Organizing and facilitating board meetings, shareholder meetings (including AGMs), and committee meetings, preparing agendas, taking minutes, and ensuring proper follow-up on actions.
  • Manage incorporation, structuring, and ongoing compliance for Indian and Foreign holding and subsidiaries.
  • Prepare and file ROC forms, Board Resolutions, Members Resolutions and Annual Returns.
  • Liaise and coordinate with government authorities such as MCA, RBI, ROC, SEBI and other authorities for approvals, clarifications, and submissions.
  • Manage Foreign Direct Investment (FDI) compliance and reporting under FEMA regulations.
  • Handling entire dematerialization process, including receiving requests, submitting documents to depositories and registrars, and ensuring timely completion of the conversion. 
  • Ensuring compliance with all relevant regulations, guidelines, and circulars issued by SEBI and depositories regarding dematerialization. 
  • Maintain Statutory Records and Registers in accordance with legal requirements.
  • Assist in due diligence, audits, and other consultancy projects.
  • Stay updated with the latest regulatory changes and ensure compliance framework.
  • Communicate effectively and ensure high-quality service delivery.

Required Skills:

Compliance of Corporate, Statutory laws, Drafting and Vetting of Agreements, E-Filing, Foreign Collaborations and Joint Ventures, Issue of shares in India and Abroad, Liaising with Govt. Authorities, Listing/Delisting of Securities

Education: Company Secretary

Experience: 6-10 years of relevant experience

Working Days: Monday to Friday, 2nd & 4th Saturdays working
